Power Women Luncheon Colonel Lenderman was born the daughter of a Military Pilot. Women pilots were admitted into the Air Force in 1976 and this inspired her dreams as a young child. Colonel Lenderman leads more than 3,100 personnel, oversees assets totaling more than $4 billion, and controls an annual budget exceeding $130 million. Her presentation included the different missions, teams and planes at SAFB for groups including operations, wings, mission support, communications and medical support. Colonel Lenderman graduated from Duke University with an Electrical Engineering degree in 1993. She then attended Undergraduate Pilot Training at Columbus AFB, MS. She served tours at Grand Forks AFB, ND; Fairchild AFB, WA where she met her husband, which they both currently serves as Colonels in the US Air Force and Altus AFB, OK, flying the KC-135 Stratotanker. She performed Presidential Advance Agent duties for Air Force One and the 89th Presidential Airlift Group, commanded the 15th Air Mobility Operations Squadron at Travis AFB, CA and served as the Executive Officer to the Commander of Air Mobility Command at Scott AFB. She also served as Vice Commander of the 380th Air Expeditionary Wing in Southwest Asia and comes to Scott AFB from duties in the Pentagon. To this day Colonel Lenderman enjoys the community engagement that keeps her involved with civilians in our area while continuing her leadership lessons that begin with Listen, Love & Lift. The Colonel and teams at SAFB are preparing for a busy 2017 at SAFB celebrating their 100 year Centennial kicking off on January 6th and running thru October including the ever popular Air Show & Open House on June 10-11 featuring the USAF Thunderbirds. 8

Kristina Rasmussen is the President and Chief Operating Officer of the Illinois Policy Institute. She is responsible for executing the organization’s strategic plan, which centers on turning liberty principles into marketable policies that become law. In her spare time she loves to quilt! She recently went on vacation to Denmark with her family and was invited to dinner with the Prime Minister, Lars Rasmussen, who is also her father-in-law. This year Kristina was involved with the creation of a documentary about Michael Madigan, Illinois Speaker of the House that has been shown in theaters, local TV stations and other media outlets to show the history of the power Mr. Madigan has obtained and continues to have a hold over our State. From her post in Springfield, Kristina has helped the Illinois Policy Institute overcome steep odds to defeat multiple tax hikes and pass free-market legislation. Kristina joined the Illinois Policy Institute in 2009 as Executive Vice President, a position she held until 2016 when she became President and COO. In 2015, Kristina accepted the Overton Award from the State Policy Network, which recognized her excellence in leadership. Kristina regularly shares her insight on fiscal issues and government reform with audiences across Illinois and the nation. Her opinion pieces have been featured in statewide and national publications along with appearances on national television and radio shows. Kristina completed her master’s degree in political management at George Washington University. She graduated summa cum laude from Randolph-Macon Woman’s College with a bachelor’s degree in political science. Kristina and her husband are proud to be raising their three beautiful daughters in the Land of Lincoln. She is motivated to change Illinois because she knows the state has the potential to be a beacon of opportunity shining across the Midwest and the nation. When asked if there is one bill in Illinois you could change her response was the program in place for net earned income and welfare benefits. These programs offer more benefits for less money you make, giving false hope for families to aspire to provide for themselves and relying heavily on the State of Illinois. There are also very burdensome red-tape issues blocking families from receiving the benefits when truly in need. Kristina also covered important topics on the Illinois financial crisis, property taxes, spending priority problems, jobs, entrepreneurship barriers, cost of doing business, state workers controlling their own retirement, local government consolidation, redistricting and term limits for our government officials. 9

Significant new income tax position now available for residential developers A tax court decision that was upheld upon an appellate review in August, 2016 for Shea Homes, Inc., has significantly changed tax accounting for new residential developments. Shea Homes, Inc. builds mid and high priced homes in several states in the Southwest United States. Work is performed by the home building company (Shea) and various of its subsidiaries that develop the land, common area improvements and amenities. Total projects are carried out on a long term basis extending over more than one tax year. This decision is a major victory for residential developers. In this decision, the Ninth Circuit confirmed the tax court decision that residential developers, in certain cases, were entitled to use the completed contract method of accounting for reporting income from the sales of homes in residential developments. The completed contract method of accounting allows for deferral of the tax on the profits of house and lot sales, until the contract is completed, i.e. the time the taxes become due. Now the courts have stated the contract is not complete when house and lots are sold, but when the entire residential community is completed. The Tax Court agreed with Shea, that the project was not complete until they had completed their obligation to fulfill their promises regarding the development of the community being marketed to the buyers. The development went beyond a house and a lot; it included the elements needed to create a house within the particular planned community development that the buyer was expecting. The tax court concluded that the buyers were purchasing "the entire lifestyle of the development." This was reflected in, among other things, common improvements, bonding requirements, the creation of homeowners' associations in which each buyer had rights, and in the covenants, conditions and restrictions that ran with the land and affected not only the buyer, but also other prospective buyers and the properties they were purchasing. Not surprising, the IRS does not like the long-term completed contract method of income tax deferrals. It has pursued developers using these aggressive contracting strategies both in audits and in court. It also should be noted the same court that issued this positive Shea Homes, Inc. case also issued an opposite conclusion in the Howard Hughes Company, LLC case a few weeks later, basing its opinion on a conclusion that the contractor was not a homebuilder. The court distinguished between contactors involved in home building and land developers who do not build homes. Therefore, it is important to point out that careful planning is required and you should seek qualified professional advice. Understand Who Holds the Risk A recent decision of the 1st District Appellate Court is cause for contractors and subcontractors to review your contract forms extremely carefully, in regard to payment obligations, if the project owner fails to pay. In Beal Bank Nevada v. Northshore Center THC, LLC, et al, 2016 IL App (1st) 151697, the court rejected the contractor’s position that the subcontractor was not entitled to be paid, until the contractor had received payment from the project owner. The contract involved stated that “payment will be made within thirty (30) days after the work called for hereunder has been completed by the Subcontractor to the satisfaction of the Owner and the Contractor and the Contractor has received from the Owner written acceptance thereof together with payment in full for this portion of the work” [emphasis added]. The 1st District held the Contractor had to pay the sub, even though the owner never paid the contractor. In doing so, the court distinguished prior rulings holding no payment was required, until the project owner paid the contractor, based on a distinction the court referred to as the difference between “pay-when-paid” clauses; and “pay-if-paid” clauses. In the former case, the court held that the risk of the owner defaulting and never paying was not assumed by the subcontractor; so, ultimately, even if the owner never paid the contractor, the contractor is still obligated to pay the sub. In the latter clauses, i.e., under a “pay-if-paid” clause, however, the risk of non-payment was found to be accepted by the subcontractor, so that the contractor had no obligation to pay, if the owner never paid the contractor. The court held that the language quoted above was a “pay-when-paid” clause, that addressed when the subcontractor, generally, was to be paid – but did not shift the risk of ultimate non-payment by the owner to the subcontractor. The court cited to several other states that have made a similar distinction. This ruling makes it imperative that contractors and subs review your form contracts and understand who holds the risk, if an owner fails to pay. Tax Reform Done Right With elections right around the corner, tax proposals are surfacing like mushrooms after a rainstorm. While we can all agree that the current tax code is a disaster, the most recent proposals regrettably range from just bad to positively dreadful. Why? They are political documents designed to attract voters -- not tax policy experts and economists! With this in mind, I offer several key principles that should be generally followed in any successful tax reform. The primary goal of taxation is to raise revenue while causing the least economic damage possible. This means broadening the tax base. Think about it; if the only thing we taxed was oregano, we would all stop buying oregano. If, however, we taxed all spices equally, there would be no reason to avoid oregano, but there would be a strong incentive to eat bland food and smuggle in spices. But if we tax everything equally, then you have no incentive to alter your behavior as you cannot reduce your taxes. Better yet, as you broaden the base, you will be able to lower tax rates and still collect the same amount of revenue. Of course, this means doing away with most deductions, credits and exclusions, including tax breaks for charitable donations, employer-provided health insurance and state and local income taxes. The next step involves simplification. Most taxpayers resent the fact that the rich hire clever accountants and lawyers, thus reducing their tax payment to nothing or next-tonothing. This is corrosive behavior, creating distrust of the entire system across the political spectrum. Moreover, simplifying our 75,000-page federal tax code would cause entrepreneurs to think harder about how to make more money and grow their businesses, not on which lobbyists and lawyers to hire and how many racehorses to buy, all of which are unproductive activities. Tax simplification means doing away with the corporate income tax and all the insane rules regarding investment expensing, depreciation schedules, repatriation of profits, taxdeductibility of debt, R&D tax credits and so on. Third, tax consumption -- not savings. When the government taxes savings, income, interest payments, dividends, capital gains, wealth and even inheritances (but we can argue about that one), it reduces the incentive to save, invest in new plant and equipment, and, most critically, take financial risks. Recognizing this, the government already allows for health-savings accounts, IRAs, life-insurance exemptions and a multitude of trusts that the rich use to shelter wealth and avoid inheritance taxes. Why not let everyone do it without having to jump through any hoops? While consumption taxes such as sales taxes or value added taxes may sound regressive, they need not be. Consumption by the wealthy can be taxed at a higher rate than consumption by the poor. In this way, the tax code can remain progressive. Moreover, as the consumption tax will be based on the difference between what you earn and what you save, this plan will discourage hiding assets offshore, giving our economy yet another boost! The last time the tax code was reformed was during President Reagan’s second term; roughly 30 years ago! We are clearly overdue. While reaching a compromise that both ends of Pennsylvania Avenue will agree to will be tough, if done as outlined above, it will boost GDP growth and improve living standards. Congress, get going!
